Pierre Monahan
President of the board
Mr. Pierre Monahan has been a corporate director and business management consultant since 2008. Previously, he was President of Bowater Canadian Forest Products Inc. and Executive Vice-President, Building Products at Bowater Inc. until his departure in 2007. Mr. Monahan received his bachelor’s degree in commerce from the HEC Montréal in 1968. Over the course of his career, he has held a number of management positions in the forestry industry. He has also held financial management positions in major corporations, including Vice-President, Finance and Treasurer, and Executive Vice-President, Business Expansion, at Tembec Inc.; Vice-President and CFO of Domtar Inc. and President and CEO of a spin off company, Alliance Forest Products Inc. Mr. Monahan has sat on the boards of directors of the Forest Products Association of Canada, the Pulp and Paper Research Institute of Canada (Paprican), the Forintek Canada Wood Products Research Institute and the FERIC Forestry Research Institute, and has served as chairman of the board of each of these organizations. He was a member of the board of directors of Uniboard Canada Inc., Comact Equipment Inc., Fortress Paper Ltd. and AXA Insurance (Canada) as well as chairman of AXA’s audit committee and a member of AXA’s investment committee until it was acquired by Intact Insurance in June 2011. In 2004, Mr. Monahan was awarded an honorary doctorate in forestry science from Université Laval, Québec, and, in 2006, he received the Pulp and Paper Excellence Award (PCPP) from the Québec Forest Industry Council. He is a member of the board of Énergir Inc. and chairs its Audit Committee and its Health, Occupational Safety and Environment Committee. He is also Chairman of the Board of Solifor inc. and Centraide of Greater Montreal Foundation.
Mary-Ann Bell
Ms. Mary-Ann Bell worked for over 30 years in the telecommunications sector. An industrial engineering graduate from the École Polytechnique de Montréal (1982) and holding a Master’s of Science from the Institut national de la recherche scientifique (INRS) (1986), she began her career at Bell Canada in 1982 where she held various operational and financial positions, including that of Senior Vice President, Customer Service from 2003 to 2006; in 2006, she participated in the setting up of Bell Aliant Inc., where she was Senior Vice President for Québec and Ontario until 2014. A certified corporate director and member of the Institute of Corporate Directors, Ms. Bell has sat on various boards of directors for over 15 years and has several years of audit committee experience. She has chaired the boards of the Montreal Women’s Y, Nordia inc., Proximedia inc. and the Institut international des Télécommunications and has sat on the boards of Centraide and the International Women’s Forum. She is chair of the Institut national de recherche scientifique, a research university which is part of the Universités du Québec network, and is a member of the board of Cominar Real Estate Investment Trust (of which she chairs the Compensation Committee and is also a member of the Audit Committee), the board of Nav Canada (of which she is also a member of the Human Resources Committee, the Safety Committee and the Customer Service Fees Committee) and the board of Cogeco Inc. (of which she chairs the Governance Committee and is a member of the Human Resources Committee).
François Gervais
Mr. François Gervais is a corporate director. He was an investment banker at CIBC World Markets from 1977 to 2003 and at RBC Capital Markets from 2003 to 2008. During a career in corporate finance that has spanned more than 30 years, Mr. Gervais has been involved in numerous share and bond issues and merger and acquisition transactions for corporations in a variety of industries. He holds a Bachelor of Business Administration from Université Laval and an MBA from the Harvard Business School. He also holds the CPA and ICD.D designations. He was a director of Nurun Inc. from 2003 to 2008 and of Groupe Dessau inc. from May 2014 to September 2015. Mr. Gervais is a director of Valener and its subsidiaries. He is also a director of the Fondation de l’École supérieure de ballet du Québec since October 30, 2017.
Gwen Klees

Ms. Gwen Klees, from British Columbia, boasts nearly 30 years of business experience. She is currently Senior Vice President, Legal Affairs and Risk Management, and Corporate Secretary of Ovivo Inc., formerly GLV Inc., which she joined in 2003. Specialized in mergers and acquisitions, partnerships, financings and major commercial contract negotiations, Ms. Klees has gained solid experience in corporate governance and even operational management through her current role as General Manager of a division in South Africa. During the first 15 years of her career as a lawyer, after practicing at a major law firm, she held a variety of positions at key Québec corporations including Royal Bank of Canada, Bell Canada and Cadim, a subsidiary of the Caisse de dépôt et placement du Québec. She also sits on the Board of Directors of the Maison du Père Foundation.

Serge Régnier

After graduating with a Bachelor of Arts degree from Université de Sherbrooke, Mr. Régnier pursued his post-secondary education by obtaining a diploma in management from Concordia University, a certificate in industrial relations from Université de Montréal, a certificate in superior communication studies in changing organizations from Université de Montréal.  Mr. Régnier is also a graduate of Collège des administrateurs de sociétés (Université Laval). From 1984 to 1998, he worked in human resources with Culinar Inc., Agropur Coopérative and Natrel, where he held various management positions. In 1998, he joined Énergir, L.P. as Human Resources Manager and was appointed Vice President from 2001 until his retirement in 2011. While he was with Énergir, L.P., Mr. Régnier set up a strategy to adapt the corporate culture to business reality. Mr. Régnier is also a lecturer at Université de Montréal and Université de Sherbrooke. He has sat and continues to sit on the boards of several companies.
